1. Acceptance of Terms
By accessing or using the services provided by Arepa.AI LLC ("Arepa.AI," "we," "us," or "our"), including our website at arepa.ai, our AI-powered business plan and website generation platform, and our WhatsApp-based management tools (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. You must be at least 18 years old to use the Service. By creating an account, you confirm that you are 18 years of age or older.
2. Description of Service
Arepa.AI is an AI-powered platform that helps small business owners generate business plans, brand identities, market research, production-ready websites, and marketing strategies. Users interact with our AI assistant ("Arepita") via our web application or WhatsApp to describe their business idea, and our system uses artificial intelligence to generate deliverables.
3. AI-Generated Content Disclaimer
All content generated by Arepa.AI — including business plans, financial projections, market research, marketing strategies, website copy, and brand recommendations — is produced by artificial intelligence and is provided for informational and planning purposes only. AI-generated content does not constitute professional financial, legal, business, tax, or investment advice. Financial projections and market data are estimates based on AI models and may not reflect actual market conditions. You are solely responsible for reviewing, validating, and making decisions based on any AI-generated content. Arepa.AI strongly recommends consulting qualified professionals (accountants, lawyers, business advisors) before making significant business decisions based on generated content. We make no guarantees regarding the accuracy, completeness, or suitability of AI-generated content for your specific situation.
4. User Accounts
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
5. Subscriptions and Payments
Arepa.AI offers subscription plans with varying features and credit allowances. Paid subscriptions are billed on a recurring monthly basis through Stripe, our payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. All fees are stated in US dollars and are non-refundable. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period. We reserve the right to change subscription prices with 30 days' notice. Unused credits do not carry over beyond 90 days on paid plans.
6. Acceptable Use
You agree to use the Service only for lawful purposes. You may not use the Service to generate content that is illegal, fraudulent, defamatory, harmful, or that infringes on third-party rights. You may not attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms. You may not use the Service to generate content for illegal businesses or activities. You may not resell or redistribute the Service without written permission. You may not use automated tools to access the Service beyond normal usage patterns. We reserve the right to suspend or terminate access for violations of this policy.
7. Intellectual Property
You retain ownership of the business ideas, descriptions, and information you provide to the Service. You own the AI-generated content (business plans, website configurations, marketing strategies) created for your account, subject to our right to use anonymized and aggregated data to improve the Service. The Arepa.AI platform, brand, software, templates, and underlying technology remain the exclusive property of Arepa.AI LLC. Website templates are licensed for your use on the Arepa.AI platform; the underlying template code is not transferred to you on Starter or Business plans.
8. WhatsApp Integration
If you use Arepa.AI through WhatsApp, your interactions are also subject to Meta's WhatsApp Terms of Service and WhatsApp Business Terms. By messaging our WhatsApp business number, you consent to receiving responses from our AI assistant. WhatsApp message history is stored to provide continuity of service. Message processing is subject to rate limits (5 messages per minute). You may opt out of WhatsApp communications at any time by sending "STOP" to our business number.
9. Privacy
Your use of the Service is governed by our Privacy Policy, available at arepa.ai/privacy-policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy or reliability of any AI-generated content. AI models may produce inaccurate, incomplete, or biased content. You use the Service at your own risk.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Arepa.AI LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service, including but not limited to reliance on AI-generated content for business decisions. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Arepa.AI LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination by contacting legal@arepa.ai. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will survive.
14. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Florida. You agree to submit to the personal jurisdiction of such courts.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
